Public offering

"Capital Markets" PLC offers to its customers the whole scale of services related to the preliminary research, financial analyses, evaluations and the making of a tender offer, as well as its realization on the Bulgarian Stock Exchange – Sofia.

The Law on Public Offering of Securities defines the cases, where the shareholders in a given trade company make a tender offer to the other shareholders for the purchase of a certain percentage of the trade company’s shares.

The tender Offer gives the opportunity to every shareholder owning at least 5% of the company’s shares to acquire at least 1/3 of the total number of shares.

On the other hand a shareholder who acquires over 50% or 2/3 of the general assembly votes either directly or by a third person is obliged to make a tender offer to the other shareholders for the purchase of their shares. This obligation is a measure to protect the company’s minority shareholders’ interests.

Before its announcement the Tender Offer has to be approved by the Financial Supervision Commission
